1. SERVICES

Athena Nova provides AI automation services to education recruitment agencies, including:

  • Custom automation workflow development

  • System setup and configuration

  • Training and onboarding

  • Ongoing maintenance and support

  • Integration services with existing CRM systems

2. SERVICE PROCESS

Consultation: All engagements begin with a free consultation to assess your needs.

Contract: Following consultation, we provide a detailed project proposal outlining scope, timeline, and costs.

Project Delivery: Services are delivered according to agreed specifications and timelines, which vary based on project complexity.

Ongoing Support: Monthly retainer services provide continued maintenance and support.

3. PAYMENT TERMS

Project Fees: 60% due upon contract signing, 40% due upon completion of setup and onboarding.

Monthly Retainer: Due at the beginning of each month for ongoing support services.

Additional Work: Scope changes or additional modifications are charged at agreed fixed rates.

Late Payments:

  • 7-day grace period after due date

  • Late fee of £25 or 1.5% monthly interest (whichever is greater) applies after grace period

  • Service suspension after 14 days overdue

  • Service termination after 30 days overdue

  • £300 restart fee required to resume services after termination

4. REFUND POLICY
  • Full refund within 48 hours of contract signing

  • Template projects: 75% refund if cancelled before setup begins

  • Custom projects: 50% refund if cancelled before setup begins

  • After setup completion: No refund available

  • Monthly retainer: Pro-rated refund for unused portion of current month only

5. INTELLECTUAL PROPERTY

Ownership: Athena Nova retains ownership of all automation workflows, processes, and methodologies created.

License: Upon payment completion, clients receive a perpetual license to use the automation systems created for their business, even if monthly retainer services are cancelled.

Client Data: All data processed through client systems remains the exclusive property of the client.

6. WARRANTIES AND GUARANTEES

Functionality: Automations will perform as specified in project documentation for the duration of monthly support.

Uptime: 95% uptime target (excludes third-party API outages beyond our control).

Response Time: Issues reported during business hours will be addressed within 24 hours.

Limitation: We do not guarantee specific time savings, business outcomes, or results.

7. MONTHLY MAINTENANCE COVERAGE

Included Services:

  • Bug fixes and error resolution

  • API key updates and reconnections

  • Minor workflow adjustments (under 30 minutes work)

  • System monitoring and maintenance

  • Software update compatibility fixes

  • Basic training refreshers for existing features

  • Performance optimization of existing workflows

Excluded Services (require additional fees):

  • New automation workflows or processes

  • Integration with additional platforms/tools

  • Significant logic changes to existing workflows

  • Adding new data fields or outputs

  • Training on new features/workflows

  • Workflow modifications taking over 1 hour

  • Changes due to major CRM updates requiring rebuilds

8. LIABILITY AND RESPONSIBILITY

Service Disruptions: Automation failures or issues are covered under monthly retainer services.

Data Loss: Data protection is the responsibility of the individual platforms used (Google Drive, CRM systems, etc.).

Third-Party Services: We are not liable for outages or issues with third-party services (APIs, CRM systems, etc.).

Limitation of Liability: Our total liability is limited to the amount paid for services in the 12 months preceding any claim.

9. TERMINATION

Client Termination: Either party may terminate monthly retainer services with 30 days written notice.

Effect of Termination: Client retains license to use existing automations. No refund of monthly retainer fees.

Restart Fee: Resuming services after termination requires a £300 restart fee.

10. CONFIDENTIALITY

We maintain strict confidentiality of all client information and data. We do not share, sell, or distribute client information to third parties.

11. GOVERNING LAW

These terms are governed by the laws of England and Wales. Any disputes will be resolved in UK courts.

12. CHANGES TO TERMS
We reserve the right to modify these terms with 30 days notice to existing clients. Continued use of services constitutes acceptance of modified terms.
